Terms of Service
These Terms govern your access to and use of Kings Midas. Kings Midas is built to be used lawfully. By creating an account or using the service, you agree to these Terms in full.
1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "user", "merchant") and Kings Midas ("Kings Midas", "we", "us"). By registering for an account, accessing the dashboard, using our APIs or webhooks, installing the Android app, or initiating or receiving any payment through the platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy.
If you do not agree with any part of these Terms, you must not use Kings Midas. Your continued use of the service constitutes ongoing acceptance of the most current version of these Terms.
2. Definitions
- Service — the Kings Midas website, dashboard, payment links, payment pages, APIs, webhooks, and Android application.
- Account — a registered user profile on Kings Midas.
- Transaction — any deposit, collection, payment, payout, withdrawal, or transfer initiated, processed, or recorded through the Service.
- Activation Fee — the one-time fee paid to activate an account for full feature access.
- Provider — third-party mobile money networks, payout partners, KYC providers, and infrastructure services used to operate the Service.
3. Eligibility & Accounts
To use Kings Midas you must be of legal age to enter a binding contract and to operate a financial or business payment account in your jurisdiction. You must provide accurate, current, and complete information when registering and keep it up to date.
You are responsible for safeguarding your account credentials, API keys, PIN, and two-factor authentication. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access or suspected breach. One person or business may not operate multiple accounts to evade limits, bans, fees, or verification.
4. Activation & Fees
New accounts may require a one-time Activation Fee before full features are unlocked. The Activation Fee is charged through mobile money and is generally non-refundable once the account is activated or once setup work has begun, except where refund is required by applicable law.
Kings Midas may charge processing fees, payout fees, or provider fees on certain transactions. Applicable fees are shown in the dashboard or communicated before a transaction. We may update fees by posting changes; continued use after a change means acceptance of the updated fees.
5. Lawful Use Only
Kings Midas is provided strictly for lawful business and personal payment purposes. You agree to use the Service only for legitimate transactions for which you are authorized, and in full compliance with all applicable laws, regulations, financial rules, tax obligations, and the rules of mobile money networks.
You are solely responsible for the legality of the goods, services, and activities for which you collect or send money. You must not use Kings Midas to disguise the origin, ownership, or destination of funds, or to circumvent any legal or regulatory requirement.
6. Prohibited Activities
You must not use Kings Midas, directly or indirectly, for any of the following:
- Fraud, scams, phishing, deceptive collection of funds, or unauthorized transactions.
- Money laundering, terrorist financing, sanctions evasion, or any financial crime.
- Sale of illegal goods or services, stolen items, counterfeit products, or controlled substances.
- Gambling, schemes, or any activity prohibited by law or by mobile money network rules.
- Funding of violence, trafficking, exploitation, or any harm to others.
- Chargeback abuse, collusion, or intentional reversal of legitimately settled payments.
- Unauthorized data collection, hacking, probing, overloading, or interfering with the Service.
- Reselling, sublicensing, or misrepresenting Kings Midas, or impersonating any person or business.
- Submitting false identity, business, or KYC information.
7. Transaction Recording & Tracing
Every transaction on Kings Midas is logged, recorded, time-stamped, and traceable. We retain detailed records including amounts, references, phone numbers, payment channels, customer or recipient names returned by providers, device and session information, IP and access logs, payout details, and status history.
These records are used to operate the Service, secure accounts, detect and prevent fraud and abuse, resolve disputes, meet legal and regulatory obligations, and assist lawful investigations. Transaction records may be linked to your identity through KYC and account data, and may be produced to mobile money networks, regulators, auditors, or law enforcement where lawfully required.
8. KYC & AML Compliance
To comply with anti-money-laundering ("AML") and know-your-customer ("KYC") obligations, Kings Midas may require identity verification before or during use of certain features. You agree to provide accurate identity documents and to complete liveness and verification checks when requested.
We may screen accounts and transactions for risk, restrict or delay activity pending verification, request the source or purpose of funds, and decline or reverse transactions that present compliance, fraud, or sanctions risk. Providing false KYC information is grounds for immediate termination and may be reported to authorities.
9. Balances, Fees & Withdrawals
Funds collected through the Service appear in your Kings Midas balance, subject to provider settlement, applicable fees, holds, and verification. Withdrawals are paid to the mobile money details you provide; you are responsible for the accuracy of those details. Kings Midas is not liable for funds sent to an incorrect number you supplied.
We may place holds on funds, delay withdrawals, or require additional verification where we reasonably suspect fraud, error, chargeback risk, regulatory concern, or a breach of these Terms. Where a payment is reversed, refunded, or found to be fraudulent, we may debit the corresponding amount from your balance.
10. API & Developer Use
If you use the Kings Midas API or webhooks, you must keep your secret API keys confidential and use them only in secure server-side environments. You are responsible for all activity performed with your keys. You must not exceed reasonable rate limits, reverse-engineer the Service, or use it to build a competing product.
Webhook and callback URLs must use HTTPS. You are responsible for validating, verifying amounts, and securely handling the payment data we deliver to your endpoints. We may revoke keys or restrict access for abuse, security risk, or violation of these Terms.
11. Suspension, Ban & Termination
We may suspend, restrict, ban, or terminate your account or access to any feature, with or without prior notice, if we reasonably believe that:
- You have violated these Terms, our policies, or applicable law.
- Your account is involved in fraud, abuse, prohibited activity, or financial crime.
- You have provided false information or failed required verification.
- Your activity poses a risk to other users, providers, or the platform.
- We are required to do so by a provider, regulator, or law.
Termination may include closing the account, disabling API keys, withholding or reversing funds linked to violations, and retaining records as required. Account violations may cause a permanent ban. You may also close your account by contacting us, subject to settlement of pending obligations.
12. Investigations & Legal Action
Kings Midas cooperates with mobile money networks, regulators, auditors, and law enforcement. Where we detect or are notified of unlawful activity, we may investigate, preserve and disclose relevant records, freeze associated funds, and report the matter to the appropriate authorities.
Misuse of Kings Midas — including fraud, money laundering, or other financial crime — may result in civil and criminal liability under applicable law. We reserve the right to pursue all available legal remedies against users who cause loss, abuse the Service, or break the law, and to assist authorities in any resulting proceedings.
13. Holds, Reversals & Disputes
Payments may be subject to provider settlement times, reversals, or disputes initiated by customers or networks. We may hold or reverse funds related to disputed, erroneous, fraudulent, or non-compliant transactions. If your balance is insufficient to cover a reversal, you remain liable for the shortfall.
You agree to cooperate in good faith to resolve disputes and to provide requested evidence. Our determination on holds and reversals, made reasonably and in line with provider and legal requirements, is final for operational purposes.
14. Intellectual Property
Kings Midas, its name, logo, software, designs, documentation, and content are owned by Kings Midas or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our written permission.
15. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, uninterrupted availability, or error-free operation. We do not warrant that payments, provider networks, or third-party services will always be available, timely, or free of delay or failure. Your use of the Service is at your own risk.
16. Limitation of Liability
To the maximum extent permitted by law, Kings Midas and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the Service. Our total aggregate liability for any claim is limited to the fees you paid to Kings Midas in the three months preceding the event giving rise to the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless Kings Midas, its operators, partners, and providers from and against any claims, losses, liabilities, damages, fines, and costs (including reasonable legal fees) arising from your use of the Service, your transactions, your violation of these Terms or any law, or your infringement of any third-party right.
18. Governing Law & Jurisdiction
These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the competent courts of Tanzania for any matter arising from these Terms or your use of the Service, subject to any mandatory rights you have under applicable law.
19. Dispute Resolution
If a dispute arises, you agree to first contact Kings Midas and attempt to resolve the matter informally and in good faith. If the dispute cannot be resolved within a reasonable period, it shall be settled through the appropriate legal or regulatory channels in Tanzania. Nothing in this section prevents either party from seeking urgent relief where necessary to protect funds, data, or legal rights.
20. Changes to These Terms
We may update these Terms from time to time to reflect new features, providers, security measures, fees, or legal and regulatory requirements. The "Last updated" date at the top reflects the current version. Material changes may be communicated through the dashboard or app. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
